Nazara Technologies’ UK subsidiary has agreed to acquire a 50 per cent controlling stake in Bluetile Games S.L. and BestPlay Systems S.L. for $100.3 million (₹918 crore).
Nazara is a publicly-listed company which has said that it is building a gaming platform with intellectual property, publishing and operating capabilities.
Bluetile operates casual, social mobile games including titles such as Yatzy, Domino Legends, Mahjong Voyage and Spade Stars. The platform has nearly 375 million downloads and 22 million monthly active users across 17 live games.
For the twelve months ended December 2025, Bluetile and BestPlay on reported combined revenue of $153.6 million (₹1,405 crore) and EBITDA of $27.7 million (₹254 crore).
The transaction includes performance-linked ‘earn-outs’, with payout estimated at $98.2 million (₹898 crore), contingent on agreed revenue and EBITDA targets for current year 2027–29 and payable annually from 2028-30.
“A substantial portion of the future contingent consideration is expected to be funded through Bluetile and BestPlay’s operating cash flows and distributions, with up to 25 per cent of each installment payable, at Nazara’s discretion, in listed equity,” notes a press release.
Nazara was advised by Jerome Merchant & Partners and Pérez-Llorca (legal), Taxedge (tax), and KPMG (due diligence). Aream & Co. acted as the financial advisor and Uria Menendez acted as the legal counsel for Bluetile.![]()
